Terms of Service

Last Updated: August 2025
These Terms of Service govern the working relationship between you ("Client") and Nilo Miguel Gepilango, operating as Nilsnexus.creatives™ ("I," "me," "my"). By booking a discovery call, signing a proposal, or engaging my services, you agree to these terms.

1. What I Do

I'm a Digital Marketing and Operations Specialist focused on helping coaches, consultants, and service-based businesses build functional backends. My work includes:

  • GoHighLevel funnel builds and CRM setup
  • Pipeline architecture and lead management
  • Email sequences and automation workflows
  • Webinar and appointment systems
  • Podcast and content operations
  • Newsletter management and social media content
  • Zapier integrations where needed

What's NOT Included (Unless We Specifically Agree)

  • Copywriting — I'll refine what you provide, not write from scratch
  • Graphic design or full branding
  • Paid advertising setup or management
  • GoHighLevel subscription fees (that's on your account)
  • Third-party platform fees (Zapier, Calendly, etc.)
  • Ongoing monthly maintenance (available separately as a retainer)

2. How We Work Together

Discovery Call

30 minutes, free, no commitment. We talk about your business, what's not working, and whether I'm the right person to fix it. No pressure.

Proposal & Agreement

If we're a good fit, I'll send a proposal outlining the scope, timeline, and price. Work begins only after you confirm the proposal and pay the deposit.

Project Execution

Once we start, I'll build in checkpoints so you can review progress and give feedback along the way — not just at the end. Communication happens over email or whatever platform we agree on at the start.

Delivery

You'll receive a recorded walkthrough of everything I built — every workflow, pipeline, and automation explained. Documentation is included so you or your team can manage it going forward.

3. What You Need to Provide

For the project to move smoothly, I'll need:

  • Access to your GoHighLevel account before we start
  • Your offer details and target audience
  • Brand assets (logo, colors) if available
  • Key messaging or existing copy to work from
  • Timely feedback — ideally within 24–48 hours during active builds

Delays in providing materials or feedback may push back the timeline. That's not a penalty — it's just how projects work.

4. Timelines

Most builds take 7–10 business days. More complex projects — multiple workflows, integrations, full CRM setups — take 10–14 days.

These are estimates based on typical scope. Your actual timeline will be confirmed in the proposal. If your materials are delayed or feedback takes longer than expected, the delivery date adjusts accordingly.

5. Payment

Structure

50% deposit — Due upon agreeing to the proposal. This is what kicks off the project.
50% final payment — Due upon delivery and your approval.

Payment Methods

  • Wise (preferred)
  • PayPal

Late Payments

Final payment is due within 7 days of delivery. If payment isn't received, access to the completed deliverables may be held until the balance is cleared.

Refund Policy

  • Before work starts: Full refund available
  • After work starts: Refunds are based on work completed — minimum 25% charge applies
  • After delivery and approval: No refunds

6. Revisions

Reasonable revisions are included in every project. "Reasonable" means adjustments to existing elements to meet what we originally agreed on — not new features or redesigns after approval.

Included

  • Bug fixes and errors
  • Adjustments to automations or sequences within scope
  • Fine-tuning based on feedback during the build

Not Included

  • New pages or features added after approval
  • Redesigning elements already approved
  • New integrations outside the original scope

Out-of-scope work is quoted separately before I start on it.

7. Ongoing Work & Retainers

Some clients continue working with me after the initial project — covering things like optimization, new automations, email campaigns, content operations, and CRM maintenance.

Retainer terms (scope, rate, and billing cycle) are agreed separately and documented in a retainer agreement. I keep my ongoing client list intentionally small.

8. Ownership & Intellectual Property

Your Materials

Anything you provide — brand assets, copy, business content — remains yours. By sharing it with me, you're giving me permission to use it solely for delivering your project.

Deliverables

Once full payment is received, you own everything I built for you inside your GoHighLevel account. You have full access and control.

My Tools & Methods

I retain rights to templates, frameworks, and processes I've developed independently. These aren't yours to share or resell.

Portfolio Use

Unless you request otherwise in writing, I may reference our work together in my portfolio — anonymized or with your permission by name. You can opt out anytime.

9. Confidentiality

What happens between us stays between us. I won't share your business strategies, financials, client data, or any sensitive information with anyone outside of what's needed to deliver your project.

I expect the same. If I share any proprietary processes or systems with you during our work together, those stay confidential.

This confidentiality obligation extends 2 years beyond our working relationship.

10. What I Don't Guarantee

I build systems that are designed to perform — but I can't promise specific outcomes like leads, conversions, or revenue. Results depend on too many factors outside my control (your offer, traffic, market, etc.).

What I do guarantee: the system will work as built and agreed, and I'll fix it if it doesn't.

11. Limitation of Liability

My total liability for any claim related to a project won't exceed the total amount you paid for that specific project. I'm not liable for lost profits, missed opportunities, or any indirect damages.

This doesn't apply if there's gross negligence or fraud on my end — that would be a different conversation entirely.

12. Termination

By You

You can end the project at any time with written notice. You'll pay for work completed up to that point. The deposit is non-refundable once work has started.

By Me

I may end the project if payment is significantly overdue, if you breach these terms, or if the working relationship becomes untenable. In that case, you'll receive the work completed to date and a prorated refund of any unused deposit.

13. Disputes

If something goes wrong, I'd rather talk it out directly before anything escalates. Most things can be resolved with a conversation.

If we can't resolve it that way, disputes will be handled under the laws of the Philippines, with jurisdiction in Laguna.

14. Changes to These Terms

I may update these Terms as my business evolves. The version in effect when you signed your proposal is the one that governs our project — not any later update.

For anything new, the current Terms at that time apply.

15. By Working With Me, You Agree

Engaging my services — whether through a signed proposal, a deposit payment, or a confirmed agreement — means you've read and accepted these Terms. If you have questions before we start, ask them. That's what the discovery call is for.

Questions before we start?
